Qualifying as a professional investor: legal entities

This guide sets out the criteria, documentation, and submission steps for legal entities applying for professional investor classification on STOKR.

Step 1: Confirm you meet the eligibility criteria

To qualify under Annex II of Directive 2014/65/EU (MiFID II), your entity must meet one of the following:

Authorised or regulated entity:

  • Credit institution, investment firm, or other authorised/regulated financial institution
  • Insurance undertaking
  • Collective investment scheme or its management company
  • Pension fund or its management company
  • Commodity or commodity derivatives dealer
  • Any other institutional investor

Large undertaking (meeting at least two of the following):

  • Balance sheet of at least EUR 20,000,000
  • Net turnover of at least EUR 40,000,000
  • Own funds of at least EUR 2,000,000

Other eligible entities:

  • National or regional government, or public body managing public debt
  • Central bank
  • International or supranational institution (for example, the World Bank, IMF, ECB, or EIB)
  • Institutional investor whose main activity is investing in financial instruments

Step 2: Prepare supporting documentation

  • Authorised/regulated entities: official authorisation documents or regulatory certificates.
  • Large undertakings: audited financial statements showing balance sheet, net turnover, and own funds.
  • Other eligible entities: official documents confirming your qualifying status.

Step 3: Submit your application

Complete and submit the professional investor application form (legal entities) with all required documents for your qualifying category.

Step 4: Await confirmation

Your application is reviewed by STOKR's verification partner, and you will be notified of the outcome.
