Whether your offering requires an approved prospectus depends on its size and the jurisdiction of the offering. As a general guide under the EU Prospectus Regulation, the relevant threshold is around EUR 5 million raised over a 12-month period: offerings at or above this level typically require an approved prospectus, while smaller offerings may fall under an exemption, subject to other disclosure obligations.
